Sorry but you have to stand up and be counted. Do you really want a position on a board where you have no effect? I bet not. So if that is the case, just ignore the boringly rude bastard.

Tell him you probably know more about the company than he does as everything you and your organisation does is integral to the company. So you and your team have insights into how the company operates and where its defects are and if the board really want to know some of these they could be pointed out to the detriment of certain board members (looking directly at him) and watch him shut up.

Either you win or you get booted off and you really didn't want to be a member of a board where you have no influence, do you, so it is heads you win tails they lose. Life is too short to allow ignorant bullies to win. Fight him and any others who object. I bet the chairman didn't make that position by being a "yes" man. If he did the company is doomed anyway.
